Terms of Service

Article 1 — Definitions

“Service” refers to the Recognitium platform and its APIs, specifically Prove a File and Financial Settlement. “Client” refers to the company or individual subscribing to or integrating the Service. “Receipt” refers to a cryptographic receipt generated by the Service. “Proof Account” refers to the account and hidden API credentials used to access the Service. “Tick” refers to the prepaid unit of settlement (€0.01); the “Tick Balance” is prepaid capacity to issue receipts.

Article 2 — Service description

Recognitium provides hosted transaction sequencing and time certification services via its APIs:

• Prove a File: Provides sequence-locked, timestamped receipts to secure Client records.
• Financial Settlement: Provides high-speed transaction sequencing and finality for transaction records.

The Service is hosted exclusively on Recognitium’s private cloud infrastructure. No software source code or binaries are distributed under this Agreement. The Service operates strictly as an observational notary and sequencer; it does not custody client funds or operate as a financial exchange.

Article 3 — Pricing and billing

The self-service Proof Account pack is charged at EUR 5 for 500 ticks, equivalent to EUR 0.01 per tick; each tick settles one hash into a receipt.

Billing is managed through prepaid tick balances or structured under a separate enterprise agreement. Prepaid tick balances are non-refundable and non-transferable. Access to settlement endpoints may be suspended if the tick balance reaches zero, unless alternative billing arrangements have been established under contract.

Article 4 — Client obligations

The Client shall safeguard their Proof Account credentials. The Client is solely responsible for the correctness of all input data, hashes, and payloads transmitted to the Service, and for compliance with all applicable laws and regulations in their jurisdiction.

Article 5 — Service level

Recognitium targets 99.5% uptime per calendar month. Support inquiries are addressed within 48 business hours. If uptime falls below the target, proportional tick capacity may be applied to the Client’s account.

Article 6 — Verification and privacy

The Service issues transition receipts without storing or exposing raw client transaction payloads. Verification of receipts is performed by recomputing SHA-256 hash-chain evidence — no key or signature is required to verify. The Service stores only cryptographic hashes to maintain data confidentiality.

Article 7 — Intellectual property

The Service, including the engine, APIs, and verification protocols, is the sole intellectual property of Recognitium. The Client receives a non-exclusive, non-transferable, revocable license to access the APIs. The Client owns all their input payloads, hashes, and output receipts.

Article 8 — Suspension and termination

Recognitium may suspend settlement access if the tick balance is zero or in the event of a breach of these Terms. Either party may terminate the account upon 30 days written notice. Remaining prepaid tick balances are non-refundable.

Article 9 — Limitation of liability

The Service is provided “as is”. Total liability for any claim shall not exceed the fees paid by the Client in the 3 months preceding the claim. Recognitium shall not be liable for loss of profits, indirect, or consequential damages.

Article 10 — Regulatory compliance

Recognitium does not operate as a bank, financial institution, virtual asset exchange, or custodian. The Client is solely responsible for obtaining and maintaining any licensing or regulatory approvals required for their use of the Service.

Article 11 — Governing law

This Agreement is governed by the laws of the Service Provider’s jurisdiction. Any disputes shall be resolved by the competent courts of the Service Provider’s jurisdiction.

Article 12 — Modifications and contact

Recognitium may modify these Terms with 30 days advance notice; continued use of the Service constitutes acceptance. For inquiries, contact us at jose@recognitium.com.
