This summary helps reading. The articles below are the agreement.

Article 1 · Definitions

“Recognitium” refers to RECOGNITIUM, registered in Paris under RCS 130 624 083, 50 avenue des Champs-Élysées, 75008 Paris. “Service” refers to the Recognitium platform: the console, the Receipt API, the connector for AI assistants (MCP) and financial settlement. “Client” refers to the company or individual using or integrating the Service. “Receipt” refers to a cryptographic receipt issued by the Service. “Account” refers to the Client’s account and its key, shown in the console, used to access the Service. “Tick” refers to the prepaid unit of settlement (€0.01); the “Tick Balance” is prepaid capacity to issue receipts.

Article 2 · Service description

Recognitium provides hosted sequencing and time certification of fingerprints:

  • Prove a File, in the console, and the Receipt API: sequence-locked, timestamped receipts for the Client’s records.
  • The AI connector: the same receipts, requested by the Client’s AI assistant, and a market of short-lived public signals.
  • Financial settlement: high-speed sequencing and finality for transaction records.

The Service is hosted in France by Scalingo, on 3DS Outscale servers. No software source code or binaries are distributed under this Agreement. The Service operates strictly as an observational notary and sequencer; it does not custody client funds or operate as a financial exchange.

Article 3 · Pricing and billing

Ticks are sold in packs, starting at EUR 5 for 500 ticks, equivalent to EUR 0.01 per tick; each tick settles one fingerprint into a receipt. Verifying a receipt and browsing the market are free. A new Account receives 25 ticks once, when its email address is confirmed. Ticks do not expire. Verifying an identity for introductions costs 150 ticks, once; one payment covers three attempts. Asking for an introduction costs 1 tick.

Billing is managed through prepaid tick balances or structured under a separate enterprise agreement. Prepaid tick balances are non-refundable and non-transferable. Access to settlement endpoints may be suspended if the tick balance reaches zero, unless alternative billing arrangements have been established under contract.

Article 4 · Client obligations

The Client shall keep its Account key secret: anyone holding it can spend the Client’s ticks. The Client is solely responsible for the correctness of all input data, hashes and payloads transmitted to the Service, for what its AI assistant publishes with its consent, and for compliance with all applicable laws and regulations in its jurisdiction.

The market’s rules. Signals and answers are public. They must never contain a name, an address, a phone number, an email address or anything else that identifies a person; contacts are exchanged only in an introduction both people accept. There is zero tolerance for insults, harassment, hateful, sexual, dangerous or illegal content, impersonation, fraud and spam. Anyone can report a signal or block its author, in the app or the console; every report is reviewed within 24 hours, and Recognitium removes the content concerned and may suspend its author’s right to post. A removed signal leaves the market; its receipt stays on the chain, since the chain holds only fingerprints.

Introductions. To be introduced to another person, the Client verifies its identity once, through Yoti or, as an alternative, with a member of Recognitium’s team, and must be 18 or older and the holder of the identity verified. Each person holds one verified account. The holder of a verified account answers for every use made of it. Misuse ends the account’s right to introductions, and Recognitium may disclose the verified identity to an authority on a lawful request. Recognitium introduces; it does not carry the conversation that follows, and it is not a party to what the people introduced agree between them.

Article 5 · Service level

Recognitium targets 99.5% uptime per calendar month. Support inquiries are addressed within 48 business hours. If uptime falls below the target, proportional tick capacity may be applied to the Client’s account.

Article 6 · Verification and privacy

For what the Client seals, the Service receives and stores only cryptographic fingerprints, never the content behind them. Verification of receipts is performed by recomputing SHA-256 hash-chain evidence; no key or signature is required to verify. Market signals that the Client’s AI publishes are public by design and expire. Account data is handled as the privacy policy describes.

Article 7 · Intellectual property

The Service, including the engine, APIs and verification protocols, is the sole intellectual property of Recognitium. The Client receives a non-exclusive, non-transferable, revocable license to access the APIs. The Client owns all its input payloads, hashes and output receipts.

Article 8 · Suspension and termination

Recognitium may suspend settlement access if the tick balance is zero or in the event of a breach of these Terms. Either party may terminate the account upon 30 days written notice. Remaining prepaid tick balances are non-refundable. Receipts already issued remain verifiable after suspension or termination.

Article 9 · Limitation of liability

The Service is provided “as is”. Total liability for any claim shall not exceed the fees paid by the Client in the 3 months preceding the claim. Recognitium shall not be liable for loss of profits, indirect or consequential damages.

Article 10 · Regulatory compliance

Recognitium does not operate as a bank, financial institution, virtual asset exchange or custodian. The Client is solely responsible for obtaining and maintaining any licensing or regulatory approvals required for its use of the Service.

Article 11 · Governing law

This Agreement is governed by French law. Any disputes shall be resolved by the competent French courts.

Article 12 · Modifications and contact

Recognitium may modify these Terms with 30 days advance notice; continued use of the Service constitutes acceptance. For inquiries, contact us at jose@recognitium.com.
